Company Formation

What types of legal entity can I register in Kosovo?

Kosovo law provides for several business structures. The most common are the Limited Liability Company (LLC / Sh.p.k.), the Joint Stock Company (Sh.a.), the Branch Office, and the Representative Office. The LLC is most widely used by foreign investors due to its flexible governance and limited liability. Minimum capital requirements are nominal.

How long does company registration take?

Registration with Kosovo's Business Registration Agency (ARBK) typically takes one to three business days once documentation is complete. The process requires a founding act, details of shareholders and directors, and proof of the registered address. We prepare and submit all documentation and liaise with the Agency on your behalf.

Can a foreign national or foreign company own a business in Kosovo?

Yes. Kosovo's Law on Foreign Investments grants foreign investors the same rights as domestic investors in most sectors. There are no general restrictions on foreign ownership. Certain regulated sectors — including banking, insurance, and specific energy activities — require sector-specific licences and may carry additional requirements.

Do I need to be physically present in Kosovo to register a company?

Physical presence is not required. We can act on your behalf under a power of attorney. Documents originating abroad may require notarisation and, depending on your jurisdiction, apostille certification before use in Kosovo.

Trademarks & Intellectual Property

How do I register a trademark in Kosovo?

Trademark applications are submitted to Kosovo's Industrial Property Agency (IPA). The process involves filing an application specifying the mark and relevant Nice Classification classes. The IPA examines the application on absolute grounds, then publishes it for opposition. Registration grants protection for ten years, renewable indefinitely. We prepare and file applications and manage the process through to registration.

Does an existing trademark registration protect my brand in Kosovo?

No. Trademark rights are territorial. An EU, US, or other registration does not provide automatic protection in Kosovo. Kosovo is not covered by the EUIPO Community trade mark system. Kosovo is not a member of WIPO and is not party to the Madrid Protocol, so international trademark applications cannot designate Kosovo directly. Protection in Kosovo must be obtained through a separate filing with the Kosovo Intellectual Property Office (KIPO). We advise on the appropriate strategy for your situation.

What can I do if someone is using my trademark without authorisation?

Remedies include civil claims for damages and injunctive relief before the courts, customs measures, and in cases of deliberate infringement, criminal sanctions. We assess the available evidence and advise on the most appropriate course of action.

Commercial & Corporate Matters

What law governs commercial contracts in Kosovo?

Commercial contracts are primarily governed by the Law on Obligational Relationships (No. 04/L-077), which draws from the Continental European civil law tradition. Parties have significant freedom to specify the governing law in cross-border agreements, though certain mandatory Kosovo law provisions apply regardless of the chosen governing law.

Can I enforce a foreign court judgment or arbitral award in Kosovo?

Foreign judgments may be recognised and enforced in Kosovo subject to applicable rules and bilateral or multilateral treaty arrangements. Kosovo is a signatory to the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, so foreign arbitral awards are enforceable subject to the standard Convention grounds for refusal.

Do you advise on New York law as well as Kosovo law?

Yes. Our managing partner holds qualifications in both Kosovo law and New York law, which is relevant in cross-border transactions where both systems are engaged — for example, agreements between US and Kosovo parties, or financing arrangements with US-based lenders.
